Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Cobilder platform, including the website at cobilder.com and any associated software, applications, or services (collectively, the “Service”), operated by Terbia LLC (“Cobilder,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to these Terms on behalf of yourself or the organization you represent.

2. Description of Service

Cobilder is a managed digital operations platform that provides tools for project delivery, client management, team staffing, time tracking, invoicing, and related operational workflows for digital agencies, studios, and consultancies.

3. Accounts and Registration

You must register for an account to access most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at hello@cobilder.com if you suspect unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Transmit any content that is fraudulent, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to any part of the Service or any connected systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated means to scrape, crawl, or extract data from the Service without our prior written consent.
  • Resell or sublicense access to the Service without our prior written permission.

5. Subscriptions and Payment

Certain features of the Service require a paid subscription. Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by law or as explicitly stated in a separate agreement. We reserve the right to change pricing with at least 30 days’ notice. Failure to pay may result in suspension or termination of your account. Payment processing is handled by Stripe; by subscribing, you also agree to Stripe’s terms of service.

6. Free Plans and Trials

We may offer free plans or trial periods at our discretion. Free plans are subject to usage limits and may be modified or discontinued at any time. At the end of a trial, you will be required to subscribe to a paid plan to retain access to paid features.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Terbia LLC. You retain ownership of any content you upload to the Service (“User Content”). By uploading User Content, you grant us a limited, non-exclusive, royalty-free licence to store, display, and process that content solely to provide the Service to you. We will not sell or share your User Content with third parties except as described in the Privacy Policy or as required by law.

8. Data and Confidentiality

We treat your workspace data as confidential. We do not access your workspace data except (a) as necessary to provide and maintain the Service, (b) as directed by you, (c) as described in the Privacy Policy, or (d) as required by law. We implement reasonable technical and organisational measures to protect your data.

9. Third-Party Services

The Service may integrate with or link to third-party services (including Stripe for payments, Supabase for infrastructure, and email providers). We are not responsible for the privacy practices or content of those third parties. Your use of third-party services is governed by their respective terms and privacy policies.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERBIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) US$100.

12. Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms or for any other reason at our sole discretion, with or without notice. You may cancel your account at any time from your workspace settings. Upon termination, your right to use the Service ceases immediately. We may retain your data for up to 30 days after termination before permanent deletion, subject to our Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Terbia LLC is registered, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall first be submitted to good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration in accordance with applicable arbitration rules. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Privacy Policy

This Privacy Policy describes how Terbia LLC (“Cobilder,” “we,” “us,” or “our”) collects, uses, and shares information about you when you use our Service. By using the Service, you consent to the practices described in this policy.

1. Information We Collect

We collect the following categories of information:

  • Account information: Name, email address, and password when you register.
  • Workspace data: Projects, clients, team members, documents, time entries, invoices, and other content you create or upload.
  • Billing information: Payment method details processed by Stripe (we do not store card numbers).
  • Usage data: Pages visited, features used, actions taken, timestamps, and error logs.
  • Device and connection data: IP address, browser type, operating system, and referring URLs.
  • Communications: Emails and support messages you send us.

2. How We Use Your Information

We use the information we collect to:

  • Provide, operate, and maintain the Service.
  • Process transactions and send related information including receipts and invoices.
  • Send transactional and service communications (account confirmations, security alerts, onboarding emails).
  • Send product updates and early-access announcements to waitlist subscribers and registered users (you may unsubscribe at any time by replying to any email).
  • Respond to support requests and improve our support processes.
  • Monitor and analyse usage patterns to improve the Service.
  • Detect, prevent, and address fraud, abuse, or security incidents.
  • Comply with legal obligations.

3. Information Sharing

We do not sell your personal information. We share information only in the following circumstances:

  • Service providers: Trusted third parties that perform services on our behalf (infrastructure, email delivery, payment processing, analytics), bound by confidentiality obligations.
  • Within your workspace: Information is visible to authorised members of your workspace according to their assigned roles.
  • Legal requirements: Where required by law, regulation, or valid legal process.
  • Business transfers: In connection with a merger, acquisition, or sale of assets, with notice to you.
  • With your consent: For any other purpose with your explicit consent.

4. Data Retention

We retain your account and workspace data for as long as your account is active or as needed to provide the Service. If you cancel your account, we will delete your data within 30 days unless retention is required by law. Anonymised or aggregated data may be retained indefinitely for analytical purposes.

5. Security

We implement industry-standard technical and organisational measures to protect your data, including encryption in transit (TLS) and at rest, access controls, and regular security reviews. No method of transmission over the Internet is 100% secure; we cannot guarantee absolute security.

6. Cookies and Tracking

We use essential cookies to maintain your session and remember your preferences. We may use analytics tools to understand how the Service is used. We do not use third-party advertising cookies. You can control cookies through your browser settings; disabling essential cookies may affect your ability to use the Service.

7. Third-Party Services

Our Service uses the following key third-party providers, each with their own privacy policies:

  • Supabase — database and authentication infrastructure.
  • Stripe — payment processing.
  • Resend — transactional email delivery.
  • Crisp — customer support chat (if you interact with it).

8. Your Rights

9. Children’s Privacy

The Service is not directed to individuals under the age of 18. We do not knowingly collect personal information from children. If you believe a child has provided us personal information, contact us and we will delete it promptly.

We may update this Privacy Policy from time to time. We will notify you of material changes by posting the new policy on this page with an updated “Last updated” date and, where appropriate, by email. Your continued use of the Service after changes are posted constitutes acceptance of the revised policy.
